Limiting Liability Effectively

Iain Fraser, consultant at law firm Berryman Lace Mawer’s professional indemnity team in Manchester, details the pitfalls to avoid when dealing with professional liability claims.

Although sometimes confused, exclusion and limitation of liability are quite different things. In broad terms it is possible for a professional to place a contractual limitation (or cap) on their potential liability to a client, but a contractual term baldly seeking to exclude any liability at all to a client for work undertaken within the scope of an agreed retainer has no realistic prospect of being enforceable.

But limiting liability is not straightforward either and some care is needed to ensure that attempts to do so stand the best possible chance of being successful. Even then it is almost impossible to guarantee that a limitation clause will not still be challenged.

We live in a society which is increasingly compensation minded and anyone who has had to defend a negligence claim will know it can be an extremely worrying experience with potentially crippling costs.

Additionally, a client commissioning the professional service from a business has the right to expect their work to be covered by PII.

In recent years there’s been a number of real-life situations where businesses, particularly micro SMEs, have maintained insufficient levels of cover and instances of claims have arisen where the total amount claimed has well exceeded the limit of indemnity, subsequently forcing these firms to go out of business. Not only has their livelihood gone but there’s also the serious possibility of a damaged reputation.

Expert Witness Immunity Abolished

A PII Guide To The Buying & Selling Of Professional Practices

The purchase or sale of a professional practice is a major financial and commercial transaction for all concerned.

Considerable time and effort will be spent on ‘due diligence’, particularly by the potential purchaser and its advisers, in order to ensure that both parties understand as much as possible about the financial, commercial and personal consequences of the proposed deal.

Unfortunately, the issue of Professional Indemnity Insurance – or, indeed,  the management of professional risk – is often not addressed until very late in the day, when most of the terms of the proposed deal have already been agreed, and when someone has remembered that “we ought to tell our insurers”…
